Air Transport Services Group (ATSG) has agreed to sell passenger ACMI and charter operator Omni Air International to OAI Holdings, with the transaction allowing ATSG to concentrate its portfolio on air cargo, aircraft leasing, maintenance and logistics services.
Omni Air provides passenger air transportation services for commercial and government customers worldwide. Its activities include customised charter operations, ACMI wet leasing, airline startup support, route development and aircraft management.
Following completion of the transaction, ATSG said its portfolio will be focused on air cargo transportation, aircraft leasing and related maintenance and logistics services.
The divestment is part of ATSG’s longer-term strategy to concentrate resources on its cargo and associated aviation services businesses. The company has been assessing strategic options for Omni while evaluating opportunities in the air cargo market.
For ATSG’s remaining aviation portfolio, maintenance and logistics will continue to form part of its supporting services alongside aircraft leasing and cargo operations. The transaction therefore represents a change in the company’s portfolio structure rather than an expansion of its MRO activities.
OAI intends to continue developing Omni’s passenger ACMI and charter businesses following the acquisition. The buyer’s management team brings aviation industry experience and plans to build on Omni’s existing customer base and operating capabilities.

ATSG President and CEO Greg Mays said the agreement would allow the company to focus its resources more fully on air cargo and related customers.
