Peru’s competition authority, Indecopi, has approved Abra Group’s acquisition of control of SKY Airline, subject to modifications to certain contractual provisions.
The decision follows a second-phase review launched in March 2026 to assess the potential impact of the transaction on competition, particularly on the Lima–Miami and Cusco–Miami routes.
Indecopi concluded that the proposed combination would not significantly restrict competition on either route. However, the authority raised concerns over non-compete and employee non-solicitation clauses, determining that their scope and duration were broader than necessary to complete the transaction.

As a condition of approval, Abra Group must limit the duration and scope of these provisions and demonstrate that the required amendments have been incorporated into the final transaction documents.
The Peruvian approval follows regulatory clearances previously obtained in Chile and Brazil. Abra Group and SKY Airline are now working to complete the remaining steps needed to formalize and execute the transaction.
Abra Group, which owns Avianca, GOL and Wamos Air, is expected to further strengthen its presence in the Latin American aviation market by adding SKY Airline.
